6 Things to Avoid Being Sued in 2024 (#3 will do it every time!)
I often get asked - Bobby, if I do {fill in the blank}, can I get sued? And, the answer is - it depends. I’ve had the pleasure of practicing law now for nearly a decade and have done so at the highest levels - from being the youngest black partner at an AML200 law firm to operating my own law firm, the Robinson Law Group and I’ve seen a lot.
But, the reality is - most lawsuits can be avoided so here are six (6) things to be on the lookout for to avoid finding yourself in need of a litigation attorney (as I’m purely transactional - business and intellectual property law).
[ 1 ] Using an Unprotected Brand
Aside from your human capital, your intellectual property is one of the most valuable assets but I’m always surprised that a number of entrepreneurs have opted not to protect their intellectual property, namely, trademarks and copyrights. Now, the horrible side of not protecting intellectual property is that someone can potentially steal the brand or use it without your permission and you’d have not rights or recours and even worst, you could find yourself being sued for trademark or copyright infringement and having to re-brand and start all over again so get your brand assets protected asap. [ 2 ] Poor Employment Law Practices
While I’m not an employment lawyer, I have witnessed too many clients make fatal employment moves that ended up being detrimental to the business. That said, if you have employees or are considering making your first W2 hire, I highly encourage you to speak with an employment attorney or an experienced HR consultant to help you navigate the process.
[ 3 ] Bad Contracts (Yikes)
Now, I won’t go on a rant about how bad it is to get your contracts from online services such as Rocket Lawyer and LegalZoom but here’s what I’ll say - if you’re going to go that route, still have a lawyer review and revise to fit the specific needs of your business. Depending on the state, there are rules of interpretation that say - if the contract is ambiguous and it’s your contract, they will view it negatively against you because courts have said, if you meant to say ABC but instead said XYZ, that’s on you. Contracts are the lifeblood of your business and you can’t afford to cut corners in making sure your business is protected from potential litigation, if that business relationship goes south so have a lawyer review your contracts often and make adjustments throughout the year, if needed.
[ 4 ] Misrepresentations in Communication
When communicating with your employees, clients, investors you have to be honest and truthful because if you misrepresent anything that others rely upon to their detriment, it could rise to the level of a lawsuit because, but for the untruthful statements, I would not have made XYZ decision so be mindful with the statements you and your team make that could be relied upon by anyone interested in doing business with you - whether in contract negotiations or advertising material.
[ 5 ] Inadequate or Lapsed Insurance Coverage
The last thing you need is for liability issues to arise either via contract, auto or otherwise and discover that you’re underinsured or worse, your current policy has lapsed and you're not insured at all. If that’s the case, you can find yourself having to pay out of pocket, which could bankrupt your business, if the outstanding liability is significant so be sure to speak with an insurance broker to ensure that every aspect of your business is adequately insured and if you’ve moved or added insurable assets to your business, be sure to let your insurance carrier know.
[ 6 ] Disregard for Laws and Regulations in Your Industry
You may have heard this already but ignorance of the law is no defense. If you’re sued, you can’t say - I didn’t know. Unfortunately, that’s not a valid legal defense so you and members of your team (to include your advisory team such as lawyers, CPA, etc) will need to have a working knowledge of the laws and regulations that govern your business (especially, if you’re in a highly regulated industry, such as healthcare) because the penalties and fines can be significant and could shorten the lifespan of your business.
